Terms of Service

Welcome to 合约圈 (heyuequan.com, the “Site”). These Terms of Service (the “Terms”) govern your access to and use of the Site. By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Site.

The Site publishes educational content in Chinese for a global Chinese-speaking audience. This English text is the sole authoritative version of these Terms; any translation is provided for convenience only, and in case of any conflict this English version prevails.

1. Nature of the Site — Information Only, Not Advice

  • The Site is an information and educational platform about cryptocurrency derivatives (futures and perpetual contracts) for Chinese-speaking readers. It provides articles, explainers, and tools such as calculators. The Site does not execute trades, does not custody funds, and does not open or operate trading accounts.
  • All content (including articles, data, formulas, and calculator outputs) is provided for general informational purposes only and does not constitute, and must not be relied upon as, investment, financial, legal, tax, or any other professional advice, nor any offer, solicitation, or recommendation to buy or sell any asset.
  • You should conduct your own independent research and, where appropriate, consult a licensed professional before making any decision. You are solely responsible for your own decisions and for the consequences of any trading you undertake.

2. No Warranties — Provided “As Is”

  • The Site and its content are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, the Site makes no representations or warranties of any kind, express or implied, as to the accuracy, completeness, timeliness, suitability, or reliability of any content.
  • Crypto markets and exchange rules change rapidly. Information such as fees, leverage, margin, maintenance-margin rates, and formulas may be outdated or contain errors; calculator outputs are estimates only and may differ from an exchange’s actual figures. The exchange’s official information always prevails.
  • The Site does not warrant that it will be uninterrupted, error-free, or free of harmful components, or that any link or third-party resource will remain available.

3. Risk Warning — Very High Risk

Cryptocurrency derivatives and leveraged trading are complex, high-risk financial instruments and are not suitable for everyone. Prices are highly volatile and leverage amplifies both gains and losses. The higher the leverage, the greater the risk; you may lose all of your capital, and in extreme conditions you may lose more than your initial margin. You confirm that you understand these risks and participate only with funds you can afford to lose. All profit, loss, and consequences of trading are borne by you alone and have nothing to do with the Site.

4. Limitation of Liability

  • To the maximum extent permitted by applicable law, the Site, its operator, affiliates, and contributors shall not be liable for your use of or inability to use the Site, for any reliance on its content or tools, or for any decision or trade you make based on information on the Site.
  • The Site shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including without limitation trading losses, lost profits, loss of data, goodwill, or opportunity, even if advised of the possibility of such damages.
  • Aggregate liability cap. In any event, and to the maximum extent permitted by applicable law, the total aggregate liability of the Site, its operator, affiliates, and contributors for all claims arising out of or in connection with the Site or these Terms (whether in contract, tort (including negligence), statute, or otherwise) shall not exceed the greater of (a) the total fees, if any, you paid to the Site in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred euros (EUR 100). Because the Site is a free information platform on which you ordinarily pay nothing, this aggregate cap is ordinarily EUR 100.
  • Where applicable law does not allow certain liability to be excluded or limited, the Site’s liability is limited to the minimum permitted by law. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited — including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

5. Third-Party Links and Promotional Relationships

  • The Site is an independently operated third-party information platform. It has no affiliation, agency, or partnership relationship with Binance or any other exchange, and is not an official channel of any of them; all names and trademarks belong to their respective owners.
  • The Site contains links to third-party websites and services (such as Binance), some of which are promotional / affiliate links for which the Site may receive a commission if you register or trade. This does not increase your costs and does not affect the objectivity of our content, but you should be aware that this commercial relationship exists.
  • Once you click through and leave the Site, the terms and policies of that third party apply. The Site does not control, endorse, or take responsibility for the content, products, services, or conduct of any third party. Any dealings or disputes between you and a third party are solely between you and that third party.

6. Eligibility, Audience, and Compliance

  • You must be at least 18 years old and have full legal capacity to use the Site.
  • Intended audience. The Site provides Chinese-language educational content for Chinese-speaking users worldwide. It is not directed at, and is not intended for, residents of mainland China, nor residents of any other country or jurisdiction where access to the Site or the trading of cryptocurrency derivatives is restricted or prohibited. Nothing on the Site is an offer or solicitation in any jurisdiction where that would be unlawful.
  • Your responsibility. You are solely responsible for ensuring that your access to the Site and any crypto trading you undertake are lawful in your own jurisdiction. This includes verifying the regulatory status, licensing, and legality of Binance (or any exchange) in the jurisdiction where you are located — which varies by operating entity and region — before registering or trading. The Site makes no representation as to any exchange's regulatory status. If any of this is not lawful where you are, you must not use the Site or rely on its content.
  • You must not use the Site for any unlawful purpose, and must not interfere with, disrupt, attack, abusively scrape, or otherwise harm the operation or security of the Site.

7. Intellectual Property

Except where otherwise noted, the text, design, logos, and other content of the Site are owned by the Site or its licensors. You may not copy, reproduce, adapt, or use them for commercial purposes without prior written permission.

8. Indemnification

You agree to indemnify and hold harmless the Site, its operator, and affiliates from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law or third-party right, or your use of the Site.

9. Changes to and Interruption of the Service

The Site may modify, suspend, or terminate the Site or any part of it (including content, tools, and features) at any time, without prior notice, and without any liability for doing so.

10. Changes to These Terms

The Site may update these Terms from time to time. Updates are posted on this page with a revised date below. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms, so please review them periodically.

11. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Site regarding your use of the Site.

12. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict-of-laws rules. The courts of the Czech Republic shall have exclusive jurisdiction, and you irrevocably submit to that jurisdiction. The parties shall first attempt to resolve any dispute amicably through good-faith negotiation.
